Terms and Conditions
Introduction
These Terms and Conditions (the "T&Cs") are entered into by and between [Green and Me], hereinafter referred to as the "Seller" or "Warehouse Operator," and any party that uses or accesses the Seller's online store or physical warehouse, hereinafter referred to as the "User" ,"Buyer" or “Customer.” These T&Cs apply to all sales made through the Seller's online store and all activities conducted within the Seller's warehouse premises. These T&Cs are governed by and construed in accordance with the laws of the Republic of South Africa. By purchasing and using the products, the Buyer agrees to indemnify and hold harmless Green and Me, its directors, employees, and agents from any claims, damages, losses, or liabilities arising from the improper use or installation of products, vehicle modifications, or third-party shipping services.
1. Online Store and Products
1.1. The Seller offers 4x4 products for sale through their online store.
1.2. All product prices, descriptions, and availability are subject to change without notice. The Seller will make reasonable efforts to ensure that product information is accurate and up to date.
1.3. Some images, logos, and content used on the website may be the intellectual property of third parties. The Seller acknowledges this and will make efforts to rectify any issues related to third-party content, provided evidence is supplied.
1.4. Green and Me relies on data provided by its suppliers to ensure the accuracy of product descriptions, specifications, and availability. Every effort is made to associate the correct data with the corresponding products on the website or other communication channels.
1.5. Due to system changes, technical failures, or errors in data synchronization, product information may be subject to inaccuracies or omissions. Green and Me will not be held liable for discrepancies arising from such issues.
2. Disclaimers
2.1. The Buyer acknowledges and agrees to the following disclaimers:
a. The Seller is not responsible for any accidents, damage, or injury resulting from the use or misuse of the 4x4 products.
b. The Seller makes no warranties or representations about the fitness of the products for specific purposes or vehicle models.
c. The Buyer should consult with a qualified mechanic or expert before making any modifications to their 4x4 vehicle.
3. Sourcing and Delivery
3.1. The Seller sources 4x4 products from third-party businesses, as specified on the Seller's website. The Seller (Green and Me) is not the manufacturer of these products but acts as a reseller. Green and Me operates as a third-party supplier and does not typically hold stock of the products listed on our website. Most of the products are sourced from our suppliers after an order is placed. As a result, product availability may vary, and certain items may be out of stock at the time of purchase.
3.2. In cases where a product is out of stock, the following options will be available to the Buyer:
a. Green and Me will refund the full amount paid for the out-of-stock product.
b. Green and Me will deliver the product once it becomes available again from the supplier.
3.3. If necessary, Green and Me will contact the Buyer to arrange an alternative product or another compromise. The Buyer may also contact us directly for updates on product availability or to discuss alternative solutions.
3.4. Green and Me shall not be held responsible for any delays or failures in delivery due to stock unavailability at our suppliers. We rely on our suppliers for product availability, and we make reasonable efforts to update our website and inform Buyers of stock status, but we cannot guarantee immediate stock of all products.
3.5. If the Buyer arranges their own delivery or shipping service for the purchased product, Green and Me shall not be responsible or liable for any damage, loss, theft, or delays that may occur during the delivery process. Once the product has been handed over to the Buyer’s chosen delivery service, all responsibility for the safe and timely arrival of the product lies with the Buyer.
3.6. The Seller will ship the ordered products to the Buyer's shipping address provided during the ordering process.
3.7. Shipping fees, delivery times, and available shipping methods are detailed on the Seller's website.
3.8. Deliveries will be made within 3-5 business days unless otherwise specified or affected by external factors.
3.9. International Deliveries:
a. If the ordered products are to be delivered outside South Africa, the Buyer acknowledges that delivery times may vary depending on the destination, local customs processes, and shipment speeds.
b. The Seller and the supplier will make reasonable efforts to provide estimated delivery times, but variations may occur due to circumstances such as customs inspections, local holidays, or unforeseen delays with the delivery company.
c. The Seller and the supplier shall not be held responsible for any delays in the delivery of products, and the Buyer acknowledges that such delays may occur beyond the control of the Seller and the supplier.
d. The Seller and the supplier shall not be held responsible for any theft, confiscation, or issues arising at the border during the international shipment. Such occurrences are beyond the control of the Seller and the supplier.
e. The Buyer agrees that any additional charges, including import taxes, customs duties, or fees imposed by the destination country, are their sole responsibility. The Seller and the supplier will not be held accountable for any additional costs incurred during the importation of the products.
f. The Buyer understands and accepts that the Seller and the supplier are not liable for any loss or damage to the products during the international shipment.
3.10. The Seller is not responsible for delays in product availability, quality, or delivery caused by third-party suppliers or shipping providers.
4. Termination and Suspension
4.1. The Seller reserves the right to suspend or terminate a customer's account or an order for any reason, including violations of these T&Cs.
5. Use of Warehouse Facilities
5.1. The User acknowledges and agrees to use the warehouse facilities at their own risk. The Warehouse Operator shall not be held responsible for any injuries, accidents, damages, or losses incurred by the User while within the warehouse premises.
5.2. The User shall follow all safety protocols, guidelines, and instructions provided by the Warehouse Operator. Failure to do so may result in suspension of warehouse access.
6. Liability and Insurance
6.1. The User is responsible for maintaining appropriate insurance coverage to protect against any potential risks or losses related to their activities within the warehouse.
6.2. The Warehouse Operator shall not be liable for any damage, theft, or loss of property or equipment belonging to the User or any third party.
7. Safety and Security
7.1. The User is responsible for their own safety while within the warehouse. This includes wearing any necessary safety equipment and abiding by safety rules and regulations.
7.2. The User must secure their property, equipment, and belongings. The Warehouse Operator shall not be responsible for the security of the User's items.
8. Retention of Property for Unpaid Fees
8.1. The Warehouse Operator or Green and Me may request a deposit for the build of a product. If a deposit is made, and the build has started, the company/builder reserves the right to retain the money to pay for the build if the person/company that requested the build decides not to proceed to take actions to cover costs.
8.2. If the build is almost completed or finished, the customer will pay for the product and agrees to pay even if they decide not to proceed. This agreement is especially applicable to customized builds.
8.3. If the outstanding amount is not paid within 30 days from the date of the bill, the unpaid amount may accrue interest at a rate of 2% per month. This interest will be calculated from the due date until the payment is made in full.
8.4. The User is responsible for ensuring that payments are made promptly. In cases where timely payment cannot be made, the User should contact the Warehouse Operator or Green and Me to discuss alternative arrangements.
8.5. The application of interest or payments is at the discretion of the Warehouse Operator and may be waived or adjusted in certain circumstances, as agreed upon by both parties.
9. Force Majeure and External Events
9.1. The Warehouse Operator shall not be held liable for any damage, loss, or delay to property, products, or vehicles within the warehouse premises resulting from external events or circumstances beyond the Warehouse Operator's control. These events may include, but are not limited to, natural disasters, acts of war, terrorism, civil unrest, government actions, strikes, global lockdowns, and any other force majeure events.
10. Refunds
10.1. Refunds for returned products must be requested within 30 days of the purchase date. The Seller will process approved refunds promptly.
10.2. Refunds will not be issued for broken property resulting from reckless driving or the abuse of equipment due to the Buyer's ignorance, illiteracy, lack of understanding, or misuse of the product.
10.3. In line with South African law under the Consumer Protection Act (CPA), the Buyer may be entitled to a refund or repair for goods that are defective, unsafe, or do not comply with the agreed specifications.
10.4. In the event of a pricing error, Green and Me reserves the right to correct the error and notify the Buyer of the correct price before proceeding with the sale. If the Buyer chooses not to accept the revised pricing, the order will be canceled, and any payments will be refunded.
10.5. The product must be in new and unused condition, including all original packaging, labels, and tags.
10.6. The product should not have been damaged, altered, or used in any way that would affect its resale value.
10.7. The Buyer will be responsible for the cost of return shipping unless the product is defective, damaged, or not as described.
10.8. Return shipping must be completed using a trackable shipping service to ensure the safe return of the product. Green and Me will not be responsible for any lost or undelivered returns.
10.9. Exchanges: If the Buyer prefers to exchange the product, Green and Me will provide the Buyer with the option to exchange it for an equivalent or alternative product (subject to stock availability). In this case, the Buyer will bear the cost of return shipping for the original item and the cost of shipping for the new item unless the original product was defective or damaged.
10.10. All returned products will be inspected upon receipt. If the product is found to be used, damaged, or missing components (such as original packaging), Green and Me reserves the right to:
Reject the return and return the product to the Buyer.
10.12. For international returns, the Buyer is responsible for the return shipping cost, as well as any customs duties or import taxes that may apply.
11. Vehicle Inspection and Belongings
11.1. Upon delivering a vehicle to the warehouse or facility, the owner should thoroughly check for and remove any personal belongings. The Seller is not responsible for any lost or stolen goods left in the vehicle, and any such losses are at the owner's own risk.
11.2. The owner or person picking up the vehicle from the warehouse should inspect the vehicle to ensure all components are in order, including checking that bolts are fastened, wheels are correct, and other essential parts are secure. The owner assumes responsibility for any issues arising from the failure to perform such inspections.
12. No Liability for Lost, Stolen, or Broken Property
12.1. The owner, employees, and third parties associated with the warehouse are not liable for any lost, stolen, or broken property, and any such occurrences are at the sole risk of the owner or user.
13. Warranties
13.1. Products that are made by us may have different warranties depending on whether they are customized or pre-made. Separate warranties will be provided for the build or make of the product due to different factors.
13.2. Products that are not made by us but only resold by us will have different kinds of warranties, and it is the buyer's responsibility to check with the maker/brand name that built the products about warranties.
13.3. As the seller, we do not take responsibility for replacing the product if it was a factory fault. Depending on factors, we will replace it or give the money back if the customer is unsatisfied with the product if it is still in our refund period (30 days), and we have inspected the product.
13.4. Any product that has been damaged by the owner/customer/Buyer will be on their own account.
13.5. All products carry a minimum warranty of six months unless specified otherwise under the Section 56 of the CPA
13.6. The Buyer has the right to cancel the purchase of goods bought online within seven days after receiving the product, in line with Section 44 of the ECTA. However, this does not apply to customized products or goods specifically made to order.
13.7. All warranties provided on products purchased through Green and Me are those offered by the respective suppliers or manufacturers of the products.
13.8. The terms and conditions of the warranty, including duration and coverage, are determined by the supplier or manufacturer.
13.9. However, Green and Me is not responsible for the enforcement of the warranty or any terms stipulated by the supplier or manufacturer.
13.10. Customer must follow the supplier or manufacturer rules and guid line about warranty and agrees upon it.
14. Access and Hours of Operation
14.1. The Warehouse Operator reserves the right to control access to the warehouse and establish hours of operation, which may change as deemed necessary.
15. Compliance with South African Laws
15.1. The User must comply with all applicable South African laws, regulations, and standards while using the warehouse facilities.
15.2. This Agreement shall be interpreted, enforced, and governed by the laws of the Republic of South Africa, and any disputes shall be resolved in South African courts.
16. Changes to T&Cs
16.1. The Seller or Warehouse Operator reserves the right to make changes to these T&Cs. Updated T&Cs will be communicated to the User or Buyer.
17. Copyright
17.1. The copyright of all content on the website, including text, images, and logos, belongs to Green and Me unless otherwise stated. Unauthorized use of any copyrighted material is prohibited.
18. Social Media, Marketing, Private Deals, and Intellectual Property
18.1. All content, including posts, images, videos, and text, shared on any social media platforms by Green and Me are the sole property of Green and Me. Unauthorized reproduction, distribution, or use of this content is strictly prohibited without prior written consent.
18.2. Some content shared on Green and Me’s social media platforms may include third-party images, information, or intellectual property. Green and Me acknowledges the ownership of such third-party materials and will take steps to address any issues related to their usage upon notice. Any third-party content used in marketing will be properly credited or removed if necessary.
18.3. Special deals, discounts, or promotions shared on social media or other marketing platforms are subject to availability and may change without prior notice. It is the Buyer’s responsibility to verify the validity of any promotional offer, price, or deal before completing a purchase.
18.4. Green and Me reserves the right to amend or cancel any marketing promotions, special deals, or private deals at any time without prior notice. Private deals between Green and Me and a specific customer or group of customers are subject to the same terms, and may change or be canceled at the discretion of Green and Me.
18.5. Marketing content, including images or videos featuring products, vehicles, or services, is provided for illustrative purposes only. Actual products may differ in appearance, and Green and Me makes no guarantee that the product will exactly match the marketing materials.
18.6. The Buyer should be aware that social media posts, online marketing campaigns, and private deals are meant to provide general information about products and services. For precise product specifications, pricing, and availability, the Buyer should refer to the website or contact Green and Me directly.
18.7. Green and Me does not guarantee the accuracy of information presented in older social media posts or private communications, as offers, product availability, and pricing may change over time. Buyers are encouraged to check current details before making any purchasing decisions.
18.8. Special sales, discounts, or promotional offers shared via social media, email, or other marketing platforms are typically valid for a period of 7 days from the date of publication, unless otherwise specified in the promotion.
18.9. It is the Buyer’s responsibility to verify whether a special sale, discount, or promotional offer is still in effect before making a purchase. Green and Me shall not be held responsible if a Buyer attempts to make use of a special offer or discount after it has expired.
18.10. All special sales, promotions, or discount offers are limited in nature and may be subject to restrictions such as availability, timeframes, or specific quantities. Once the offer period ends, the product will revert to its regular price.
18.11. Green and Me reserves the right to modify, cancel, or terminate any promotional offer, special sale, or discount at any time without prior notice, especially if there is an error in pricing, stock, or promotional details.
18.12. Special sales, promotions, or discount offers cannot be combined with other offers unless explicitly stated.
18.13. Buyers are advised to act quickly, as limited-time promotions may also be subject to limited stock. Green and Me is not liable if a product becomes unavailable before or during the promotional period.
18.14. If a Buyer places an order after the expiration of a promotion, any discounts or special offers will no longer apply, and the order will be processed at the regular price. Green and Me will not be held responsible for any misunderstandings regarding the expiration of promotional offers.
This version ensures compliance with South African consumer protection laws, including the Consumer Protection Act (CPA) and Electronic Communications and Transactions Act (ECTA), and the relevant sections for international shipping and safety in warehouse environments are made explicit.
